Affinion Group, Inc. Announces Pricing of $150 Million of 10-1/8% Senior Notes Offering

NORWALK, Conn., June 2 /PRNewswire/ -- Affinion Group, Inc. ("Affinion" or the "Company"), a global leader in customer engagement solutions that enhance and extend the relationship of millions of consumers for financial service, retailing, hospitality and e-commerce companies, announced today the pricing for the offering of its $150 million in aggregate principal amount of its 10-1/8% senior notes due 2013 in a private placement pursuant to Rule 144A and Regulation S of the Securities Act of 1933, as amended (the "Securities Act"). The senior notes will be guaranteed on a senior unsecured basis by each of the Company's current and future domestic subsidiaries that guarantee the Company's indebtedness under its senior secured credit facility. The 10-1/8% senior notes due 2013 will be issued under a new indenture and will not be part of the same class as the Company's existing 10-1/8% senior notes due 2013. The notes will be sold at a price equal to 91.000% of their face value, plus accrued interest from April 15, 2009, with an effective yield of 12.877%. The offering is expected to close on June 5, 2009, subject to the satisfaction or waiver of customary closing conditions.

The net proceeds of the offering are intended to be used for general corporate purposes.

The notes were not registered under the Securities Act or any state securities laws, and the notes may not be offered or sold within the United States, or to, or for the account or benefit of, any United States persons absent registration under, or an applicable exemption from, the registration requirements of the Securities Act and applicable state securities laws.
