(BM&FBovespa: AMIL3; Bloomberg: AMIL3 BZ; Reuters: AMIL3 SA), the largest healthcare operator in Brazil, in accordance with article 157, paragraph 4 of Law 6,404/76 (Brazilian Corporate Law), as amended, and CVM Instruction 358/02, as amended, informs its shareholders and the market, that its Board of Directors approved today the 4th Issuance of Common Debentures, Unsecured not convertible into shares, Single Series, for public distribution, with restricted selling efforts, according to CVM Instruction 476/09, of January 16, 2009, as amended, in order to extend short term debt and to strengthen the net cash of the Company.
The main characteristics of this Issuance are described below:
- Amount: R$ 300 million
- Term: 3 years
- Remuneration: up to 110% of CDI, to be confirmed after Bookbuilding process
- Payment of the remuneration: Every six months
- Amortization: in one installment, on the Maturity Date
- Coordinators: BTG Pactual and HSBC
