Clayton, Dubilier & Rice Fund Completes Investment in Guidance Solutions

    NEW YORK, Dec. 30 /PRNewswire/ -- Clayton, Dubilier & Rice, Inc. ("CD&R")
 announced today that a fund it manages has completed a $27 million first round
 investment in Guidance Solutions, Inc. ("Guidance"), a leading online business
 developer and e-business incubator based in Marina Del Rey, California.  CD&R
 expects to invest an additional $8 million in Guidance.  A fund managed by BCI
 Partners, a media and technology focused venture capital firm, also completed
 a first round investment of $8.0 million in Guidance and expects to invest an
 additional $3.6 million.
     Guidance is focused on transitioning traditional businesses and existing
 brands into successful online businesses.  The company maintains an equity
 stake in a number of the online ventures it helps to establish, creating a
 portfolio of companies in different market segments.  Currently it has
 minority equity stakes in a number of Internet enterprises and is evaluating
 additional ventures.  Guidance was founded in 1993 by two former employees of
 Cambridge Technology Partners and Sun Microsystems.
     Commenting on the investment, Jim Rogers, a principal of CD&R, said, "This
 investment will advance our strategy to help our portfolio companies fashion
 the appropriate strategies to capitalize on e-commerce growth opportunities."
     Earlier this week, CD&R announced an agreement will Allianz Capital
 Partners, an affiliate of Allianz Group, to acquire Fairchild Aerospace Corp.
 in a transaction valued at approximately $1.2 billion.  In the Internet area,
 a CD&R Fund recently made a $25 million investment to finance the launch of, an Internet-based solution that emerged from a major
 e-commerce initiative at Alliant Foodservice, Inc., a $6 billion in revenues
 foodservice distributor that is majority-owned by a CD&R-managed fund.
