(NYSE: GPI) (the "Company"), an international, Fortune 500 automotive retailer, today announced that, subject to market conditions, it intends to sell in an offering in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to persons outside of the United States pursuant to Regulation S under the Securities Act, $250 million in aggregate principal amount of senior unsecured notes due 2023 (the "Notes"). The Company intends to use the net proceeds from the offering to repay amounts outstanding under the acquisition line of its revolving credit facility, to make a contribution to its floorplan offset account and for general corporate purposes.
The Notes to be offered have not been, and will not be, registered under the Securities Act, or any state securities laws, and thus, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
