LANCASTER, Pa., Dec. 23 /PRNewswire-FirstCall/ -- Herley Industries, Inc. (Nasdaq: HRLY) announced today that its Board of Directors has unanimously approved, subject to shareholder vote, an amendment of its certificate of incorporation providing for the declassification of its board of directors. The Company will submit this proposal to shareholder vote at its annual meeting to be scheduled in March 2010. If approved, commencing with the 2011 annual meeting all members of the board of directors will be elected annually for a one-year term. Currently, Directors are elected to three classes of staggered, three-year terms.

David H. Lieberman, Chairman of the Board, commented, "The Board believes that declassification of the Board of Directors is in the shareholders' best interest. This move is a continuation of our ongoing efforts to enhance shareholder value."
