The offering will be made only to qualified institutional buyers in compliance with Rule 144A under the Securities Act of 1933, as amended, and to persons outside the United States under and in compliance with Regulation S of the Securities Act of 1933, as amended. The Company expects to use the net proceeds of the offering to repay a portion of its outstanding term loan indebtedness and, along with borrowings from time to time under its amended credit facilities and cash from operations, to finance the construction of its Eastchester Extension and Athens Expansion and for general corporate purposes.
