 announced today that it has filed a registration statement with the
 Securities and Exchange Commission (SEC) for a proposed initial public
 offering of its Class A shares representing Class A limited liability
 company interests. The firm intends to apply to list its Class A shares on
 the New York Stock Exchange under the symbol OZM.
     Och-Ziff is a leading international, institutional alternative asset
 management firm and one of the largest alternative asset managers in the
 world.
     Goldman, Sachs & Co. and Lehman Brothers Inc. are serving as co-lead
 managers for the proposed offering.
