XI'AN, China, Oct. 29 /PRNewswire-Asia-FirstCall/ -- SkyPeople Fruit Juice, Inc. (NYSE Amex: SPU) ("SkyPeople" or "the Company"), a leading processor and manufacturer of concentrated apple, kiwifruit, pear and other fruit juices and fruit products in the People's Republic of China, today announced the listing of its common stock on the NYSE Amex Equities and the pricing of a public offering by two selling stockholders of the Company's common stock. In connection with the offering, the selling stockholders exercised warrants to purchase an aggregate of 2.7 million shares of the Company's common stock. The Company will receive approximately $6.9 million in gross proceeds from the exercise of these warrants. Roth Capital Partners, LLC acted as the lead-manager and Maxim Group LLC acted as co-manager for the public offering.

Under terms of the agreement, the selling stockholders have granted the underwriters a 30-day option, to purchase up to an additional 405,000 shares of Common Stock to cover over-allotments, if any, for an additional $1.0 million in gross proceeds from the exercise of these warrants. Subject to customary closing conditions, the public offering is scheduled to close on November 3, 2009. The Company intends to use proceeds from this transaction for general corporate purposes, including acquisitions and other expansions of its current production capacity.

On October 28, 2009 SkyPeople also filed an amendment to its Articles of Incorporation providing for a two-for-three reverse split of its common stock, effective today, October 29, 2009. The Company's common stock, which previously traded on the OTC Bulletin Board, will begin trading on the NYSE Amex today, October 29, 2009, under the ticker symbol "SPU."
