 intention to integrate their industry-leading technologies in order to offer
 the industry's most advanced, end-to-end solution for managing and
 distributing video content. Under the terms of the proposed agreement, Javu's
 Clip Compiler, a component of Javu's Video Processing Server technology, will
 be resold and marketed with Artesia's digital asset management solution,
 TEAMS, in order to greatly reduce the time and costs associated with
 accessing, transcoding, managing and deploying video content. The integrated
 solution will offer users a network-based, end-to-end platform in which video
 assets can be readily accessed, easily manipulated and seamlessly repurposed
 from any Internet- or Intranet-connected device.
