Brooktrout, Inc. Announces Sale of Brooktrout Software, Inc.

eYak Acquires Subsidiary for Approximately $5 Million in Cash and 3.4 million

Shares of eYak Stock

Apr 16, 2001, 01:00 ET from Brooktrout, Inc.

NEEDHAM, Mass., April 16 /PRNewswire/ --Brooktrout, Inc. (Nasdaq: BRKT), a
leading provider of software and hardware platforms that enable applications
for the New Network(TM), today announced that it has closed on the sale of
Brooktrout Software, Inc. (BSW), its wholly owned subsidiary, to eYak, Inc., a
leading provider of Internet Protocol (IP) media server software and solutions
for voice applications. In the transaction, Brooktrout received approximately
$5 million in cash and 3.4 million shares of eYak preferred stock.
"Brooktrout Software's management team has done a great job of positioning
the company to take advantage of the convergence of voice processing and the
Internet," said Eric Giler, president of Brooktrout, Inc. "As we have stated,
in evaluating our long term strategies, we felt that BSW would be more
successful as either a standalone company, or more closely aligned with a
company focused on software and solutions for voice applications. We believe
that together, BSW and eYak are well-positioned to lead in delivering voice-
enabled software solutions to a wide range of customers."
"Brooktrout entered 2001 with a new organizational structure for greater
market focus, and an eye toward ensuring that our business initiatives were
targeted on several key market segments," said Bob Leahy, vice president of
finance and operations, and treasurer, Brooktrout, Inc. "While BSW addresses
an exciting market, we determined that it no longer fits as one of our key
strategic areas of operation. We intend to continue to concentrate our
efforts on our New Network opportunities, which include investments in key
target markets such as voice over packet, wireless, messaging, enhanced
 services, and contact centers."
This transaction was structured as a tax-free reorganization. Brooktrout
will record a one-time gain on the sale of BSW in the second quarter of 2001.
Brooktrout will discuss the sale in more detail during its Q1 2001
earnings conference call scheduled for Tuesday, April 17, 2001 at 5:30 p.m.
ET. The conference call will be broadcast live over the Internet by accessing
