 announced that at its Annual Meeting of Shareholders, held on April 24, 2001,
 its shareholders reelected the current ten member Board for an additional one
 year term and ratified the appointment of Arthur Andersen LLC as independent
 auditors for the Company for 2001.
     Additionally, following the Shareholders Meeting, the Board of Directors
 of Crawford & Company declared quarterly dividends of $0.14 per share on the
 Class A Common Stock and $0.14 per share on the Class B Common Stock, payable
 on May 18, 2001 to shareholders of record as of the close of business on
 May 4, 2001.
