 Pre-Cell Solutions, Inc. (OTC Bulletin Board:   TDCM) (d/b/a Dual Point
 Communications), a leading provider of wireless technology and telephone
 services for the prepaid wireless and home markets, announced today that it
 has filed a Proxy Statement with the Securities and Exchange Commission (SEC)
 for the Company's Annual Meeting of Shareholders to be held on April 30, 2001.
 The Proxy Statement was mailed to shareholders of the company beginning
 April 6, 2001.
     The proposals for the Annual Meeting include the election of directors and
 ratification of BDO Seidman, LLP as the independent auditors for the fiscal
 year ended April 30, 2001.
     The company also announced today its intention to hold a Special Meeting
 of Shareholders during the first quarter of its 2002 fiscal year to seek
 shareholder approval for, among other things: (1) the increase of the
