Fimalac: Final Results 2000

    PARIS, April 26 /PRNewswire/ -- The Board of Directors met on April 24,
 2001 to examine the final 2000 financial statements. During the meeting, which
 was chaired by Marc Ladreit de Lacharriere, the Board decided to recommend the
 election of five new Directors at the Annual Shareholders' Meeting.
 
     I) ELECTION OF NEW DIRECTORS
 
     In accordance with the proposal put forward by Marc Ladreit de
     Lacharriere, the Board of Directors of Fimalac intends to recommend the
     election of five new Directors at the Annual Shareholders' Meeting:
 
     Rene Barbier de la Serre
     Henri Lachmann
     Jean-Charles Naouri
     Etienne Pfimlin
     Edouard de Royere
 
     If these recommendations are approved by the Annual Shareholders' Meeting,
     the members of the Board of Directors of Fimalac will be as follows:

     II) FINAL 2000 RESULTS
 
     The final results for 2000 are unchanged compared with the provisional
     results announced after the Board Meeting held on March 7.  In 2000,
     Fimalac enjoyed another year of strong growth, in excess of its stated
     objectives:
 
     *  Operating income after interest and minority interests rose 30.4% to
        EUR 74.6 million (FRF 489 million)
     *  Net income before amortization of goodwill totalled EUR 108.5 million
        (FRF 712 million), up 52.2%
     *  Net income after amortization of goodwill reached EUR 100 million
        (FRF 656 million), an increase of 40.1% (37% growth in earnings per
        share).
 
     III) RECOMMENDED DIVIDEND
 
     At the Annual Shareholders' Meeting on June 5, 2001, the Board of
     Directors will recommend a dividend of EUR 0.90 per share, before the
     avoir fiscal tax credit, up 21%.
 
     The dividend will be paid as from June 7, 2001.
