F&M Bancorp's Hoff Retires as Chairman, Re-Elected Director

    FREDERICK, Md., April 17 /PRNewswire/ -- During the annual organizational
 meetings of F&M Bancorp and Farmers & Mechanics Bank which followed the annual
 stockholder's meeting of F&M Bancorp (Nasdaq: FMBN), Mr. Charles W. Hoff, III
 announced his retirement as Chairman of the Boards of F&M Bancorp and it
 subsidiary, Farmers & Mechanics Bank.  Mr. Hoff was elected Chairman Emeritus
 and was re-elected to the boards of both companies, positions he has held for
 a number of years and looks forward to continuing to serve the Corporation as
 Director.
     Mr. Hoff began his career at Farmers & Mechanics National Bank in
 September of 1977, as Executive Vice President.  He was promoted to President
 of the bank in 1981 and to the position of Chairman of the Board of Directors
 in 1993.  The Bank's parent holding company, F&M Bancorp, was subsequently
 formed in 1983.  At that time Mr. Hoff was elected Chairman, President and
 Chief Executive Officer of the newly formed corporation.
     Mr. Hoff has been extremely active in the Frederick community.  Locally,
 he has served on the Board of Directors of Hood College, the Frederick
 Memorial Hospital, the Frederick County Chamber of Commerce, and as a founding
 member of the Board of the Community Foundation of Frederick County.  In
 addition, he has enthusiastically contributed his time to many other business
 and charitable organizations.  In 1993 Mr. Hoff was named Frederick Memorial
 Hospital's "Good Samaritan of the Year" for his commitment to the hospital and
 to the community at large.
     The financial community has also benefited from Mr. Hoff's involvement in
 many state and national organizations.  He has served on the Board of
 Directors of the Baltimore Branch of the Federal Reserve Bank of Richmond and
 in various capacities with the Maryland Bankers Association, including serving
 as President in 1995.  Following many committee positions with the American
 Bankers Association, Mr. Hoff served as a Director from 1995-1998.
     Elected to the position of Chairman of the Boards of Directors of both
 companies was R. Carl Benna.  Mr. Benna has served on the Board of Directors
 of F&M Bancorp and Farmers & Mechanics Bank since 1989. Mr. Benna is President
