 GiftCertificates.com has signed a formal agreement to participate in the
 world's first loyalty program currency exchange, pointsxchange(TM), giving
 Points.com an important partnership with a leading online gift certificate
 program.
     The agreement provides a framework for GiftCertificates.com to
 participate in pointsxchange. The relationship allows pointsxchange users to
 exchange points, miles and other loyalty program currencies for a
 SuperCertificate from GiftCertificates.com. The SuperCertificate is redeemable
 at GiftCertificates.com for original gift certificates to over 700 stores,
 restaurants and more, including J. Crew, Barnes & Noble, Sam Goody and
