Healthcare.com and Madison Information Technologies Join Forces; The Two Leading EMPI Products to Become One

 Healthcare.com Corporation (Nasdaq:   HCDC), a leading healthcare integration
 software and services company, today announced that the Company has entered
 into a software licensing agreement with Madison Information Technologies,
 Inc., a leading provider of identity management products and services.  Under
 the terms of the agreement, Madison receives an exclusive license for the
 EMerge(R) enterprise master person index (EMPI) and its payer and provider
 modules, which will be adapted into Madison's evolution of its Aligndex(R)
 software suite.  Additionally, the two companies intend to cross-distribute
 each other's offerings, including Healthcare.com's integration software and
 services and Madison's EMPI-related analytical, remediation and process
 management services.  The resulting product and service combination will
 create a broader solution which will be offered by both companies on an
 ongoing basis.  The transaction involves a combination of fixed fees and
 contingent fees, which together could result in software license and
 distribution fees up to $10-$15 million for Healthcare.com, as well as an
 additional $3-$4 million in savings for the Company, over the next three
 years.
