James Hagedorn to be Elected Chief Executive Officer Of The Scotts Company on May 10, 2001

    COLUMBUS, Ohio, April 26 /PRNewswire/ -- The Scotts Company (NYSE:   SMG)
 today announced that its Board of Directors plans to elect James Hagedorn, 45,
 as President and Chief Executive Officer at its May 10th Board meeting.  Mr.
 Hagedorn has served as President and Chief Operating Officer since April 2000.
 Charles M. Berger, 64, who has served as Chairman and Chief Executive Officer
 since August 1996, will continue as Chairman of the Board.

     Since 1996 Mr. Hagedorn has worked closely with Mr. Berger to build The

 essentially tripled and earnings per share growth averaged more than 20% per
 year.
     Mr. Hagedorn joined Scotts in 1995 as Senior Vice President, Consumer
 Gardens Group, when the company merged with Stern's Miracle-Gro Products, Inc.
 At Miracle-Gro, Mr. Hagedorn had served as Executive Vice President and was a
 major architect of Miracle-Gro's success both in the US and in the UK.
 Following the merger, Mr. Hagedorn helped integrate Miracle-Gro's brands and
 consumer marketing expertise with Scotts' own powerful brands.
     Mr. Hagedorn became Executive Vice President, U.S. Business Groups in
 1996, President, Scotts North America in 1998, and President and Chief
 Operating Officer in 2000.
