 an agreement with Sun Educational Services, the training arm of Sun
 Microsystems (Nasdaq:   SUNW) to provide Cisco(R) e-learning solutions and
 mentoring services to Sun Educational Services' enterprise customers in the
 United States, beginning April 2001.  As part of Sun Educational Services'
 goal to provide the best available online training to its customers, the
 agreement enables clients to quickly implement the new technologies they are
