 agreement with Chicago based Ad-Servers.com, LLC.
     The companies are entering into a strategic alliance in the form of joint
 and/or dual marketing of its products and services.  Additionally, the
 companies shall jointly develop a new Integrated Software System ("ISS") by
 combining Ad-Servers' patented Advertising Profit Technology ("Ad-A.P.T.")
 with the MKTS GUI (Graphical User Interface).
