 information systems, today announced a definitive agreement to acquire
 Veriprise Corporation in a purchase of assets acquisition for 1,500 shares of
 Convertible Junior Preferred Stock, convertible into 1.5 million shares of

     The acquisition of Veriprise complements Mbrane's industry-leading Mbrane
