 Wireless Data Systems Network LC (WDSN), to use Mbrane's enterprise-class
 software membrane to extend WDSN's asset management application to mobile
 employees.

     This revenue sharing agreement appoints Mbrane as the worldwide
 distributor for WDSN's AssetPM, a complete construction project, asset and
 task management service.  Additionally, AssetPM will be bundled with Mbrane's
 Touchpoint platform to reach mobile end-users at the point of action where
 they require bi-directional access to the system, regardless of time and
 location.
     The real-time, locally embedded Touchpoint solution, integrated within
 mobile devices, enables the expansive and precise intricacies of construction
 coordination to take place.  The server manages tasks from multiple locations
 simultaneously, with real-time synchronization.  Information can be
 communicated to and from the field immediately, empowering individuals to
 accomplish their tasks with maximum efficiency.  The technology automatically
 tracks the actual time and date of executions or problems.
