 partnered with Lightningcast, Inc., a leading technology company serving
 advertisers, broadcasters and the streaming media industry, to launch
 streaming media advertisements over the MediaBay suite of websites.
     Under the terms of the agreement, Lightningcast will work as an agent,
 both selling advertisement time as well as bringing advertisers to the
 MediaBay websites, including MediaBay.com, RadioSpirits.com and
 AudioBookClub.com.  With over 300,000 streams served each month, MediaBay will
 run the streaming media ads before, during and after accessed programming.
 Each time an ad is played, MediaBay will receive a fee, of which Lightningcast
 gets a percentage.
