    HOUSTON, April 25 /PRNewswire/ -- Omni U.S.A., Inc. (Nasdaq:   OUSA) today
 announced that it received a Nasdaq Listing Qualifications Panel decision.
 The decision granted an extension during which time the Company's securities
 will continue to be listed on the Nasdaq SmallCap Market.  This extension
 provides the Company additional time in which to regain compliance with the
 requirements for continued listing.
     The listing is subject to certain exceptions and, effective with the open
 of business on Thursday, April 26, 2001, the trading symbol of the Company's
 securities will be changed from OUSA to OUSAC.  The "C" will be removed from
 the symbol when the Panel has confirmed compliance with the terms of the
 exceptions.
