"This integrated network will provide our members access to high-quality
medical services throughout the east and west sides of Manhattan and

Continuum Health Partners was formed in January, 1997, as a partnership of
two venerable health care providers, Beth Israel Medical Center and St.
Luke's-Roosevelt Hospital Center. Building upon the strengths of both
institutions, the partners soon established a broad-based integrated health
services network extending throughout the New York metropolitan region. In
May, 1998, the partnership was joined by a third distinguished institution,
Long Island College Hospital, located in the Brooklyn Heights/Cobble Hill
section of Brooklyn. In August, 1999, The New York Eye and Ear Infirmary, an
outstanding institution with a 100-year tradition of excellent specialty care,
joined Continuum as its fourth partner. Together these institutions have an
annual budget in excess of $1.7 billion and deliver care through nearly 3,100
certified beds in seven major hospital facilities in Manhattan and Brooklyn.

Founded in 1984, Oxford Health Plans, Inc. (http://www.oxfordhealth.com)
provides health plans to employers and individuals in New York, New Jersey and
Connecticut, through its direct sales force, independent insurance agents and
brokers. In the year 2000, the company received a Commendable Accreditation
from the National Committee for Quality Assurance (NCQA), an independent, non-
profit organization dedicated to improving managed care quality and service.
It also received a CIO 50/50 Award, which recognizes innovative Web
initiatives, in addition to a commendation from ICSA.net, which provides
security assurance services for Internet-connected companies, for consistently
performing within the industry's "best practices." Oxford's services include
traditional health maintenance organizations, point-of-service plans, third-
party administration of employer-funded benefits plans and Medicare plans.
