    BLUE BALL, Pa., April 25 /PRNewswire/ --
 PennRock Financial Services Corp. (Nasdaq:   PRFS), parent company of Blue Ball
 National Bank ("the Bank") and The National Advisory Group, Inc. ("National"),
 held its Annual Meeting of Shareholders on April 24, 2001.  The following
 directors were elected for a term of three years: Elton Horning, Glenn H.
 Weaver, Irving E. Bressler and Sandra J. Bricker.  In addition, a shareholder
 proposal submitted with the 2001 proxy was defeated.
     Norman Hahn, the Chairman of the Board of Directors of PennRock, chaired
 the meeting.  Senior managers of PennRock also addressed the shareholders on
 the Bank's current marketing, sales and Community Reinvestment Act
 initiatives, the goals and objectives of PennRock's recently completed
 strategic plan and the purchase by PennRock of National in March.  The
 shareholders were also informed that PennRock's earnings for in the first
 quarter of 2001 were a record $3 million or $.51 per share.
