Shuffle Master Agrees to Acquire QuickDraw(R) Shuffler Business

    LAS VEGAS, April 18 /PRNewswire/ -- Shuffle Master, Inc. (Nasdaq:   SHFL)
 announced today that it has signed a letter of intent to purchase the assets
 and certain liabilities of three separate companies operating under the Gaming
 Products name, and the stock of Gaming Products Pty. Ltd., a fourth company
 that holds patents relating to the QuickDraw(R) shuffler line.
     The QuickDraw shuffler is a continuous multi-deck shuffler that was
 originally introduced to the casino market in 1996.  Gaming Products has sold
 approximately 600 shufflers, primarily in Southeast Asia, South Africa and the
 international cruise ship market, with some placements in the United States.
     The purchase is to be structured as an all cash transaction, the specific
 terms of which were not disclosed.  Shuffle Master has made the required
 pre-closing notifications to gaming regulators and will comply with any
 post-closing reviews as necessary.  The Company plans to make the acquisition
 through subsidiaries established specifically to facilitate the transaction.
 Closing is planned for late April 2001.
     Company officials indicated that although detailed plans for marketing the
 combined Shuffle Master and QuickDraw product lines were not yet complete, the
 expectation is that QuickDraw units would continue to be targeted for those
 markets where they have been historically successful, including the growing
 cruise ship market and certain international markets.  The Company estimates
 that there are 800-1,000 blackjack and specialty table games on cruise ships
 worldwide and, to date, the combined shufflers installed on cruise ships
 between the two companies totals approximately 400 units.
