Steel Dynamics Announces Offering of Notes

FORT WAYNE, Ind., Nov. 29, 2016 /PRNewswire/ -- Steel Dynamics, Inc. (the "Company")(NASDAQ / GS:STLD) announced today that it plans to sell approximately $400 million aggregate principal amount of debt securities in a transaction exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), subject to market and other conditions. The Company intends to use the net proceeds of the offering, along with cash on hand, to purchase any and all of its 6.125% Senior Notes due 2019 (the "2019 Notes") that are validly tendered in a tender offer (the "Tender Offer") commenced on November 29, 2016, and to redeem, repurchase or satisfy and discharge any 2019 Notes not purchased in the Tender Offer, and to pay related fees and expenses.
