Company to Focus Its Efforts on Building Distribution Dedicated to

Northwestern Bell Phones' RF3 Next Generation Cellular Headset

 TechLabs, Inc. (OTC Bulletin Board:   TCLB) today announced that it intends to
 restructure its direct marketing operations in conjunction with management's
 decision to focus the Company's efforts on building distribution that is
 largely dedicated to the sale and marketing of Northwestern Bell Phones' RF3
 Next Generation Cellular Headset, for which it recently acquired the exclusive
 marketing and distribution rights in the network marketing channel.
     As part of that restructuring, TechLabs intends to explore the
 consolidation of its two direct marketing subsidiaries, 121, Inc. and
 ReferEveryone.com, in order to create a more singular approach to rapidly
 building an expansive network of independent representatives.  At present, the
 business models underlying 121, Inc. and ReferEveryone.com utilize similar
 viral marketing methodologies, but encompass divergent approaches to
 membership fee structures and requirements.  TechLabs believes that by
 consolidating its direct marketing operations, which may necessitate closing
 the operations of one of those subsidiaries, it will be in a better position
 to move forward with one business model that can capitalize on the different
 strengths offered by the 121 and ReferEveryone.com business models.
     The management of TechLabs noted that its decision to restructure its
 direct marketing operations was based on an evaluation of currently available
 information regarding the expense and overhead structures of 121 and
 ReferEveryone.com, as well as related balance sheet implications.
 Management's goal is to align its direct marketing operations in a manner that
 will allow it to rapidly build its representative network within an
 environment that is best suited to deliver profits to its shareholders from
 the sale of the RF3 Next Generation Cellular Headset and other unique products
 currently under development.
     TechLabs recently announced that it signed an agreement with Northwestern
 Bell Phones, one of the world's leading manufacturers and distributors of
 telecommunications products, granting TechLabs the exclusive marketing and
 distribution rights in the network marketing channel for Northwestern Bell
 Phones' newest product, the RF3 Next Generation Cellular Headset.  TechLabs
 intends to market the RF3 Next Generation Cellular Headset through its direct
 marketing operations, as well as through third party distributors to whom it
 may assign sub-licensee rights.
     Northwest Bell Phones' new RF3 Next Generation Cellular Headset is the
 only cellular headset on the market today developed using AirCom technology --
 a wireless tube, air-driven sound delivery system that eliminates the use of
 conventional wires to the ear piece -- much like a doctor's stethoscope.  By
 eliminating the wire, RF3 also eliminates any possibility of electromagnetic
 radiation from traveling up a wire to the user's head.  The RF3 Next
 Generation Cellular Headset utilizes a patent-pending, SPL enhanced
 pressurized air chamber that only delivers crystal clear sound waves to the
