Viacom's MTV Networks and Adelphia Communications Sign Long Term Affiliation Agreement

MSO Deal Bolsters Network's Presence in Country Music Programming

    NEW YORK, April 16 /PRNewswire/ -- MTV Networks, a division of Viacom Inc.
 (NYSE:   VIA and VIA.B) today announced a long-term agreement with cable
 operator Adelphia Communications Corporation that significantly increases the
 distribution of both CMT and VH1 Country, bolstering MTV Networks presence in
 country music programming. Under terms of the deal CMT and VH1 Country will
 receive significant distribution across the entire MSO.
     Tom Freston, Chairman and CEO, MTV Networks, said, "Today's interest in
 country music and lifestyle is as strong, and as substantial nationally, as
 those of pop artists.  We believe our consumers 'want their country TV.'  We
 thank Adelphia for being an integral part of our efforts to meet this growing
 demand, and ramping up the distribution of both CMT and VH1 Country."
     Additionally, under the terms of the agreement, Adelphia will continue to
 carry Nickelodeon, MTV, VH1, TV Land and TNN across all of its systems, and
 will launch new VH1 and TV Land subscribers as a result. Adelphia will also
 launch the Suite's Noggin, MTV2, GAS and VH1 Classic services in systems that
 distribute programming to nearly six million subscribers.

     MTV Networks owns and operates the cable television programming services
 MTV: Music Television, MTV2, Nickelodeon/Nick at Nite, TV Land, VH1, CMT and
 TNN, as well as The Suite from MTV Networks, a package of nine digital
 services, all of which are trademarks of MTV Networks. MTV Networks also has
 joint ventures, licensing agreements and syndication deals whereby its
