Adient announces upsizing and pricing of $500 million of 7.000% senior secured notes due 2028 and $500 million of 8.250% senior unsecured notes due 2031

PLYMOUTH, Mich., Feb. 28, 2023 /PRNewswire/ -- Adient (NYSE: ADNT), a global leader in automotive seating, today announced the upsize and pricing of private offerings by its wholly-owned subsidiary, Adient Global Holdings Ltd, of (i) $500 million in aggregate principal amount of 7.000% senior secured notes due 2028 (the "Secured Notes") and (ii) $500 million in aggregate principal amount of 8.250% senior unsecured notes due 2031 (the "Unsecured Notes" and, together with the Secured Notes, the "Notes").  The Notes will be issued at par value. The aggregate principal amount of the offering was increased to $1,000 million from the previously announced $850 million.

The Notes offerings are expected to close on March 14, 2023, subject to customary closing conditions.

Adient intends to use the net proceeds from this offering, together with cash on hand, to redeem in part its existing 3.50% senior unsecured notes due 2024 and to prepay a portion of the loans outstanding under its existing term loan credit facility.  

The Notes offerings will be made in private transactions in reliance upon an exemption from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), only to persons reasonably believed to be "qualified institutional buyers" in accordance with Rule 144A under the Securities Act and to non-U.S. persons outside the United States in accordance with Regulation S under the Securities Act.
