TO:  ALL PERSONS WHO PURCHASED OR OTHERWISE ACQUIRED SYNOVUS FINANCIAL CORP. ("SYNOVUS") COMMON STOCK BETWEEN OCTOBER 26, 2007 AND APRIL 22, 2009, INCLUSIVE

YOU ARE HEREBY NOTIFIED that, pursuant to an Order of the United States District Court for the Northern District of Georgia, a hearing will be held on October 7, 2014, at 10:30 a.m., before the Honorable J. Owen Forrester, Senior United States District Court Judge, at the Richard B. Russell Federal Building and Courthouse, 75 Spring Street, SW, Atlanta, GA 30303, for the purpose of determining:  (1) whether the proposed settlement of the above-captioned Litigation for the sum of $11,750,000 in cash should be approved by the Court as fair, reasonable, and adequate; (2) whether, thereafter, this Litigation should be dismissed with prejudice as set forth in the Stipulation of Settlement dated March 10, 2014 (the "Stipulation"); (3) whether the Plan of Allocation is fair, reasonable, and adequate and therefore should be approved; and (4) the reasonableness of the application of Lead Counsel for the payment of attorneys' fees and expenses incurred in connection with this Litigation, and the award of expenses to Plaintiffs for representing the Class.
