Why Did Anavex Stock Drop?

Plaintiff alleges that on May 6, 2026, Anavex filed a current report on Form 8-K with the Securities and Exchange Commission ("SEC"), that stated that on April 30, 2026, a special committee composed of independent directors of the Board of Directors terminated the employment of the Company's Chief Executive Officer, Christopher Missling, PhD, for, among other things, conduct that was inconsistent with Company policy. On this news, the price of Anavex stock declined by 0.59% on May 6, 2026.

On May 11, 2026, the Company filed with the SEC a notification of late filing on Form 12b-25 indicating that it was unable to file its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2026 by the prescribed May 11, 2026 due date. On this news, the Company's stock fell $0.18 per share, or 5.55%, to close at $3.06 on May 12, 2026.

According to the complaint, on August 28, 2026, Anavex filed with the SEC an amended Annual Report on Form 10-K/A for the fiscal year ended September 30, 2025, indicating that "there was a material weakness in internal control over financial reporting that existed on September 30, 2025. Accordingly, the Company's internal control over financial reporting as of September 30, 2025, as reported in its Annual Report on Form 10-K for the fiscal year ended September 30, 2025 (the "Original Form 10-K") was not effective. In addition, the Company's disclosure controls and procedures were not effective as of September 30, 2025, due to the material weakness in internal control over financial reporting as described above." The Company also filed an amended quarterly report on Form 10-Q/A for the fiscal quarter ended December 31, 2025, indicating that, like the 10-K/A, the Company's internal control over financial reporting and disclosure controls and procedures as of December 31, 2025 were not effective.

Plaintiff also alleges that on August 28, 2026, the Company filed with the SEC its quarterly reports for the periods ending March 31, 2026 and June 30, 2026, which contained disclosures regarding the Company's clinical trials and internal controls. On this news, Anavex stock fell $0.19 per share, or 6.35%, to close at $2.80 on August 31, 2026, the subsequent trading day.
