(Nasdaq: BNAI) ("BEN" or the "Company"), an AI technology company powering intelligent engagement, today announced it has filed a Form 8-K/A with the U.S. Securities and Exchange Commission providing the financial statements required in connection with its acquisition of Cataneo GmbH, a Munich-based provider of media and advertising infrastructure software, which closed on June 30, 2026.
Key Cataneo Financial Highlights (Pre-Acquisition):
- Cataneo's operating cash flow more than doubled to $1.85 million in fiscal 2025, up from $848,000 in fiscal 2024.
- Cataneo's operating income more than doubled year over year to $726,065 in fiscal 2025, up from $345,725 in fiscal 2024, on revenue of $9.6 million.
- Total contract liabilities — representing future revenue already billed or collected — grew approximately 19% to $4.5 million at year-end 2025, up from $3.8 million at year-end 2024.
- The company continues to execute against its previously disclosed $900,000 annualized cost-synergy target for the Cataneo integration, with additional headcount-related savings identified since that guidance was issued.
