CADC Reserve Trust Announces Final Prospectus Receipt and Availability Through SEDAR+
Loon Payments Inc., servicer and administrator of CADC Reserve Trust, brings CADC to Canadians across the country under a final prospectus.
TORONTO, Oct. 27, 2026 /PRNewswire/ -- CADC Reserve Trust (the "Issuer") today announced that the Ontario Securities Commission has issued a receipt for its final prospectus dated October 22, 2026 (the "Prospectus"), relating to a continuous offering of a blockchain-based token issued by the Issuer which references, on a one-for-one basis, the value of the Canadian dollar, and which operates on a supported blockchain (each, a "CADC Token" or "CADC") at a fixed purchase price of C$1.00 per CADC Token. Loon Payments Inc. is the servicer and administrator of the Issuer.
The Prospectus qualifies the distribution of CADC Tokens in each of the provinces and territories of Canada. The Issuer distributes CADC Tokens through a network of Authorized Participants (as defined in the Prospectus) that may include registered crypto trading platforms, Canadian financial institutions and platforms that have obtained exemptive relief to trade stablecoins on a non-custodial basis. Participation is subject to the eligibility requirements and conditions described in the Prospectus and applicable exemptive relief.
Eligible end users can obtain CADC through an Authorized Participant. CADC can be held in self-hosted wallets and used to send and receive payments. Through Paytrie, an Authorized Participant, eligible Canadian customers can purchase CADC and sell it for Canadian dollars using Interac e-Transfer, subject to Paytrie's terms of service.
"Canadians will be able to buy and sell CADC with us in Canadian dollars," said Jason Tong, Chief Executive Officer of Paytrie. "Supporting Interac e-Transfer gives eligible customers a familiar way to access CADC." "A Canadian dollar stablecoin is only useful if Canadians can get access to it," said Kevin Zhang, Chief Executive Officer of Loon Payments Inc. "Everything we have been building since 2021 has been about that."
The Prospectus describes the CADC program, the Issuer's financial reporting and monthly attestation arrangements, and applicable purchaser rights, including the conditions and limitations on those rights.
Each CADC Token is designed to maintain a stable value equivalent to one Canadian dollar. For each CADC Token purchased from the Issuer, C$1.00 is deposited into a segregated Reserve Trust Account held with ATB Financial, custodian of the assets of the Issuer. The reserve arrangements (as defined in the Prospectus) and redemption terms are described in the Prospectus.
Prospective purchasers should review the Prospectus, including its disclosure concerning reserve arrangements, redemption terms and risk factors.
