Complete Victory for Power Up Lending Group Ltd., Geneva Roth Remark Holdings, Inc., 1800 Diagonal Lending, LLC, and Curt Kramer in SEC Lawsuit
NEW YORK, June 23, 2025 /PRNewswire/ -- Naidich Wurman LLP today announced the complete victory that its clients – Power Up Lending Group Ltd., Geneva Roth Remark Holdings, Inc., 1800 Diagonal Lending, LLC, and Curt Kramer – obtained in litigation brought by the Securities and Exchange Commission.

Under prior political leadership, the SEC filed a series of patently pretextual lawsuits, including against Mr. Kramer, alleging, not that anyone had violated substantive securities laws, but rather that lenders providing much-needed and unquestionably legal funding to small public companies had failed to register with the SEC as "dealers." That allegation was nonsensical. Two of the SEC's own commissioners called it "shocking" and "arbitrary and even tyrannical." And after being summoned for a hearing in front of the court in Mr. Kramer's case, the SEC's lawyers refused even to defend their theory – instead, voluntarily dismissing their case.
