(NYSE: CLR) ("Continental" or the "Company") announced today that, subject to market conditions, it intends to offer a series of senior notes due 2024 and a series of senior notes due 2044 in a private placement to eligible purchasers. Continental intends to use the net proceeds from this offering to repay in full amounts outstanding under its revolving credit facility, to finance the redemption of all of its 8 1/4% Senior Notes due 2019 and for general corporate purposes.
The securities to be offered have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and unless so registered, the securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
