On March 13, 2014, Carriage Services Inc. (Carriage Services) announced the pricing of its previously announced private offering of $125 million aggregate principal amount of convertible subordinated notes due 2021 (the Convertible Notes). The Company said that the Convertible Notes were offered to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended. Carriage Services added that it granted a 30-day option to the initial purchasers of the Convertible Notes for up to an additional c. $18.8 million aggregate principal amount of the Convertible Notes. The Company informed that the Convertible Notes will accrue interest payable semi-annually in arrears at a rate of 2.75% per year, and will mature in 2021, unless earlier repurchased or converted in accordance with their terms prior to such date. The Company stated that it expects to close the offering on or about March 19, 2014, subject to the satisfaction of customary closing conditions.
