GRUPO BIMBO, S.A.B. de C.V. Announces Consideration for its Previously Announced Cash Tender Offer for Any and All of its Outstanding 3.875% Senior Notes due 2024

MEXICO CITY, Nov. 3, 2023 /PRNewswire/ -- GRUPO BIMBO, S.A.B. de C.V. ("we", or the "Company" or "Grupo Bimbo") announced today the consideration for its previously announced cash tender offer (the "Offer") to purchase for cash from each holder (each, a "Holder" and, collectively, the "Holders") any and all of its outstanding 3.875% Senior Notes due 2024 (CUSIP Nos. 40052V AC8 / P4949B AJ3; ISIN Nos. US40052VAC81 / USP4949BAJ37) (the "Notes").

The Offer is being made pursuant to an offer to purchase dated October 30, 2023 (the "Offer to Purchase") and the related notice of guaranteed delivery (the "Notice of Guaranteed Delivery" and, together with the Offer to Purchase, the "Offer Documents"), which set forth the terms of the Offer.

The following table sets forth the consideration payable for the Notes validly tendered (and not validly withdrawn) on or prior to 5:00 p.m. New York City time today, November 3, 2023 (the "Expiration Date") (or that deliver a properly completed and duly executed Notice of Guaranteed Delivery at or prior to the Expiration Date and deliver such Notes at or prior to 5:00 p.m. (New York City time) on November 7, 2023), and accepted for purchase by the Company in the Offer (the "Tender Consideration").

The Tender Consideration is calculated on the basis of the bid-side price of the 3.000% U.S. Treasury Note due June 30, 2024 (the "Reference Yield") at 2:00 p.m. (New York City time) today, November 3, 2023 (the "Price Determination Date"). The sum of the Fixed Spread and the Reference Yield is referred to as the "Repurchase Yield."
