HERNDON, Va., Aug. 31, 2026 /PRNewswire/ -- HawkEye 360, Inc. (NYSE: HAWK), the global leader in space‑based RF data and analytics, today confirmed the early release of the lock‑up of the Company's common stock held by its officers, directors, and substantially all other holders of common stock as of the date of the Company's initial public offering in May 2026. The Company also announced that it will join the U.S. small‑cap Russell 2000® Index as published in the FTSE Russell Preliminary List of IPO Additions, effective September 21, 2026, pending final review and reconstitution after markets close.
Pursuant to the lock‑up agreements with the underwriters, if the 180‑day lock‑up period is set to expire during a regularly scheduled blackout period under the Company's insider trading policy, and that date is more than 100 days following the initial public offering, then the lock‑up period automatically ends ten trading days prior to the start of that blackout period.
Because the lock‑up would end during a quarterly blackout period, all the common stock subject to the lock‑up agreements will be automatically released at the close of business on September 1, 2026, and such shares will become eligible for sale in the public market beginning on September 2, 2026.
For additional details, see the Company's Current Report on Form 8‑K filed with the Securities and Exchange Commission on August 13, 2026.
Membership in the Russell 2000® Index means automatic inclusion in the broad‑market Russell 3000® Index and in applicable growth and value style indexes. Russell U.S. indexes are widely used by investment managers and institutional investors for index funds and as benchmarks for active investment strategies. Roughly $12.2 trillion in assets are benchmarked to the Russell U.S. indexes.
