ITC Holdings Corp. Announces Pricing of $400 Million Senior Notes Due 2034

NOVI, Mich., May 6, 2024 /PRNewswire/ -- ITC Holdings Corp. ("ITC"), a subsidiary of Fortis Inc., today announced that it has priced a previously announced private offering of $400 million aggregate principal amount of its 5.650% senior unsecured notes due 2034 (the "notes"). The offering is expected to close on May 9, 2024, subject to the satisfaction of customary closing conditions.

ITC intends to use the net proceeds from this offering to partially redeem $400 million aggregate principal amount of its 3.65% Senior Notes due June 15, 2024 and for general corporate purposes.

The notes are being offered in the United States only to persons reasonably believed to be qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
