TORONTO, and NEW YORK, Dec. 20 /PRNewswire/ - Micromem Technologies Inc. (the "Company") (CNSX: MRM, OTCBB: MMTIF) announces the completion of a non-brokered, arm's length private placement of 300,000 Units at a subscription price of CDN $0.20 per Unit for the gross proceeds of CDN $60,000. Each Unit is comprised of one common share ("Common Share") and one common share purchase warrant ("Warrant"). Each Warrant may be exercised for one Common Share at an exercise price of CDN $0.22 for a period of one year.
The proceeds from the offering will be used for general working capital purposes and the shares will be subject to resale restrictions.
In addition the Company has extended the terms of a previously announced bridge loan dated April 12, 2010. The revised terms of the bridge loan include a monthly interest rate of 2% for an additional 6 month term of the loan, the issuance of 20,000 share purchase Warrants ("Warrant") exercisable at CDN $0.20 for a period of 12 months and a conversion privilege, at the holder's option, of up to the entire amount, inclusive of interest, at a rate of CDN $0.20 per Common Share ("Common Share").
The Company also announces that it has granted 375,000 employee stock options with a strike price of CDN$ 0.55 for a period of two years. These options were issued to the employees of the Company and in accordance with its previously approved employee stock option plan.
