
NIRI San Diego to Host Panel Discussion "Improper Disclosure to Analysts - The Office Depot Case"
SAN DIEGO, Aug. 31, 2011 /PRNewswire/ -- The San Diego Chapter of the National Investor Relations Institute (NIRI San Diego) will be hosting an expert panel discussion titled "Improper Disclosure to Analysts – The Office Depot Case" at the chapter's September 15 meeting. The panel will discuss the recent sanctioning by the Securities and Exchange Commission (SEC) of Office Depot for selective disclosure practices. The discussion will focus on an examination of the SEC enforcement charges against Office Depot including what events triggered the investigation. In addition, real-time Reg FD scenarios will be reviewed to determine how to avoid violating Regulation FD rules when engaging in investor and analyst discussions.
Attendees will learn what information can and cannot be discussed with analysts and investors, particularly as it relates to earnings estimates and guidance and how to identify when a pre-release of earnings is required. Additionally, the panel will present what steps should be taken to help company executives avoid the pitfalls of discussing non-public information with analysts and investors and how to identify situations where they need to take action to avoid an SEC enforcement action.
