NEW YORK, Sept. 17, 2026 /PRNewswire/ -- NMS Capital ("NMS"), a leading private equity firm focused on investments within Business Services and Healthcare Services, today announced that it has partnered with Company management in the recapitalization of Endoscopy Corporation of America ("ENDOCORP") and, concurrently, the acquisition of Medical Optics, LLC ("Medical Optics") from Probo Medical, LLC. Together the two businesses form Asurgence Medical ("Asurgence"), a newly established surgical suite maintenance, repair, and overhaul ("MRO") platform. ENDOCORP and Medical Optics will each continue to operate under their existing names and leadership as subsidiaries of Asurgence Medical.
Founded in 1996 and headquartered in Southfield, Michigan, ENDOCORP is a leading independent supplier of flexible endoscope repair parts and related repair services, including CCD imaging repair. The family-owned business sources, tests, and reconditions decommissioned endoscope components and sub-assemblies to specification. ENDOCORP supplies more than 15,000 SKUs to independent service organizations and repair facilities nationwide, supporting a lower total cost alternative to full system overhauls.
Founded in 1997 and headquartered in Tamarac, Florida, Medical Optics is an ISO 13485 certified provider of service, depot repair and equipment re-sale for flexible and rigid endoscopes, and surgical instruments. The Company has capabilities across all major OEM brands and serves hospitals, ambulatory surgery centers, physician groups, asset managers, and equipment dealers.
Combined, Asurgence pairs hard-to-source parts and sub-assemblies with a certified multi-OEM repair and service operation, spanning both flexible and rigid scopes. Asurgence will be investing in organic growth and continuing to add capabilities in support of its customers.
NMS' investment in Asurgence originated from its investment theme in equipment lifecycle management. Aging installed equipment bases, rising procedure volumes, and sustained pressure on provider cost structures are driving strong demand for high-quality third-party parts, repair, and service. Asurgence follows investments in DirectMed Imaging, a leading provider of replacement parts and repair services for MRI and CT systems, and Surplus Solutions, a leading provider of pre-owned laboratory equipment and technical services to the biotechnology, pharmaceutical, and life sciences sectors, as part of NMS' thesis within this theme.
Michael Asmer has been appointed Chief Executive Officer of Asurgence Medical. Mr. Asmer brings over 30 years of medical equipment MRO experience, including founding MedCorp and subsequently serving as Chief Executive Officer of Probo Medical, which he scaled significantly through organic growth and acquisitions. Najeeb Haddad, President of ENDOCORP, will continue to lead the ENDOCORP business.
Michael Asmer commented, "Hospitals and surgery centers are under real pressure to keep critical equipment in service without absorbing OEM overhaul economics. ENDOCORP and Medical Optics each solve part of that problem exceptionally well. Together, they give customers one partner across parts, repair, service, and equipment for the whole surgical suite. I am excited to build this with NMS, Najeeb, and the teams at both companies."
Najeeb Haddad, President of ENDOCORP, added, "My family has spent nearly 30 years building ENDOCORP into a trusted source for parts our customers cannot get anywhere else. Partnering with NMS lets us invest in capacity, capability, and people at a pace we could not fund on our own, while keeping the service standards our customers count on."
David Peterson, Partner at NMS, noted, "ENDOCORP and Medical Optics have each separated themselves in a fragmented, OEM-dominated aftermarket, a sector NMS is intimately familiar with as the result of its thematic investing approach. Najeeb and the ENDOCORP team have built a parts and sub-assembly capability that is difficult to replicate, and the Medical Optics team has built a certified, multi-OEM repair and service operation with a strong reputation among providers. Pairing the two creates a platform well-positioned to address provider needs, lowering total cost of ownership while protecting clinical uptime. We are excited to partner with Michael and both teams to drive the Company's next stage of growth."
The NMS deal team also included Kevin Connelly (NMS Portfolio Optimization Group), Julie Jackson and Jacob Eckerle (Investment Team). McDermott Will & Schulte provided legal advice to NMS Capital. Financing for the transaction was provided by TPG Twin Brook Capital Partners.
