OfficeMax Sets July 10 As Date For Special Shareholder Meeting To Vote On Pending Merger

NAPERVILLE, Ill., June 10, 2013 /PRNewswire/ -- OfficeMax Incorporated (NYSE:OMX), a leading provider of office supplies, technology and services, today announced it has set a date for a special meeting of its shareholders to consider and vote on the merger of equals with Office Depot, Inc. (NYSE:ODP), previously announced on February 20, 2013, and certain other matters.  The special meeting will be held on July 10, 2013, at 10 a.m. Central at the Hotel Arista at City Gate Centre, 2139 City Gate Lane, Naperville, Illinois.

Shareholders of record as of the close of business on May 28, 2013, will be eligible to vote at the special meeting.

Transaction Details

On February 20, 2013, OfficeMax and Office Depot announced their entry into an agreement to combine their companies in a merger of equals aimed at building a stronger, more efficient competitor able to meet the growing challenges of a rapidly changing industry. The merger process is ongoing, and the transaction is expected to close by the end of calendar year 2013, subject to stockholder approval from both companies, the receipt of regulatory approvals and the satisfaction of other customary closing conditions.
