Why is the Personalis Transaction being Investigated?

In the July 20, 2026 announcement of the merger, Personalis disclosed that it was being taken private by Tempus AI, in a merger structure that allows for a mix of cash and stock consideration, anchored to a price of $16.25 per share of Personalis stock.
