Report: Fewer Fresh Faces are Entering Corporate Boardrooms

NEW YORK, Nov. 3, 2026 /PRNewswire/ -- Corporate boards are bringing in a shrinking share of first-time directors, as companies increasingly turn to seasoned executives with prior board experience. Among newly elected S&P 500 directors, just 17.6% were serving on a public company board for the first time in 2026, down sharply from 27.8% in 2025. That's according to a new report by The Conference Board.

Meanwhile, boards continue to get older: S&P 500 directors aged 66–80 hold 44% of seats, up from 39% in 2022. Former CEOs also comprise more board appointments, rising from 17.4% in 2022 to 23.9% in 2026.

The report also finds AI expertise is becoming more common in boardrooms, though it remains rare: Among S&P 500 independent directors, the share reporting AI expertise doubled from 2.7% in 2025 to 5.4% in 2026.

"Amid rapid AI advances, geopolitical uncertainty, and regulatory change, companies are favoring directors with proven leadership experience. With board turnover slowing, each appointment carries greater weight in determining how effectively companies can navigate an increasingly complex business environment," said Ariane Marchis-Mouren, a report co-author from The Conference Board Governance & Sustainability Center.

The Conference Board study was produced with ESGAUGE, Russell Reynolds Associates, the KPMG Board Leadership Center, and the John L. Weinberg Center for Corporate Governance. Additional findings include:

First-time directors are losing ground in corporate boardrooms

• S&P 500: Between 2025 and 2026, the share of new director appointments going to first-timers fell from 27.8% to 17.6%.
• Russell 3000: The share fell by nearly half, from 39.1% to 21.6%.

Boards are leaning more heavily on former and current CEOs

• S&P 500: Former CEOs represented 23.9% of newly elected directors in 2026, up from 17.4% in 2022. Active CEOs represented 20.3%, up from 17.4%.
• Russell 3000: Former CEOs accounted for 23.1% of newly elected directors in 2026, up from 15.4% in 2022. Active CEOs represented 16.1%, up from 13.6%.

Directors are getting older, but tenure is barely budging

• S&P 500: Directors aged 66–80 accounted for 44.0% of board seats in 2026, up from 39.0% in 2022. Average sitting-director tenure was 8.2 years, down slightly from 8.4 years in 2022.
• Russell 3000: Directors aged 66–80 made up nearly 40% of board seats in 2026, up from 33.4% in 2022. Average tenure rose modestly, from 7.6 years in 2022 to 8.1 years in 2026.

AI expertise doubles in corporate boardrooms, but remains rare

• S&P 500: From 2025 to 2026, independent directors with reported AI expertise went from 2.7% to 5.4%.
• Russell 3000: The share more than doubled, rising from 1.4% to 3.3%.

"It is nearly impossible to talk with directors about board effectiveness and not discuss AI. Boards should be careful to avoid thinking adding a single director is the answer; the board as a whole needs sufficient AI literacy to evaluate opportunities, understand risks, and hold management accountable for how the technology is deployed in their organization," said Richard Fields, Head of the Board Effectiveness Practice at Russell Reynolds.

Boardroom race and ethnicity disclosures fell by more than half since 2024

• S&P 500: The share of companies disclosing the race or ethnicity of individual directors fell from 42.5% in 2024 to 23.0% in 2025 and then 17.2% in 2026. 
• Russell 3000: The share fell from 19.5% in 2024 to 11.1% in 2025 and 7.9% in 2026.

Women's overall board representation plateaus, but more women are serving as board chairs

• Overall representation: Women held 34.1% of S&P 500 board seats and 29.8% of Russell 3000 seats in 2026, little changed from 2025.
• S&P 500: Women represented 28.7% of newly elected directors in 2026, down from 36.2% in 2025. However, their share of board chair positions rose to 11.2%, up from 6.2% in 2022.
• Russell 3000: Women represented 25.6% of newly elected directors in 2026, down from 31.9% in 2025. However, their share of board chair positions rose to 9.6%, up from 6.6% in 2022.

"Women are making important strides in board leadership, but the growing preference for seasoned directors could make it harder to sustain broader gains. First-time appointments have provided an important entry point for women; narrowing that pathway could limit opportunities for those who bring fresh views and valuable experience," said Lawrence Cunningham, Director of the John L. Weinberg Center for Corporate Governance.

Companies are getting tougher on directors juggling multiple board seats

• S&P 500: Overboarding policies applying to all directors were at 86.1% of companies in 2026, up from 72.9% in 2022. CEO-specific overboarding policies also increased, from 23.8% in 2022 to 30.6% in 2026.
• Russell 3000: Overboarding policies applying to all directors rose from 50.8% of companies in 2022 to 56.1% in 2026. CEO-specific policies reached 21.0%, up from 16.3% in 2022.

"Given the increasingly fast pace of change impacting companies today, board service is becoming more demanding and time intensive. Directors who serve on numerous boards can find their bandwidth stretched and availability for urgent board matters limited. At the same time, investors are voicing concern over directors who may be overcommitted. Therefore, more boards are implementing overboarding policies – or formalizing and disclosing existing policies," said Annalisa Barrett, Senior Advisor, KPMG Board Leadership Center.
