Reservoir Rock Partners Announces Extension of Tender Offer for Westbrook-Thompson Overriding Royalty Units
NEW YORK, Jan. 30, 2019 /PRNewswire/ -- Reservoir Rock Partners ("RRP" or the "Purchaser"), a Wyoming corporation, announced today that it has extended the expiration date of its previously announced tender offer to purchase up to 27,500 Westbrook-Thompson Overriding Royalty Units (OTC Pink: WBTMU) (the "Units") at a price of $62.50 per Unit. The tender offer is now scheduled to expire at 5:00 pm, New York City time, on February 15, 2019, unless further extended or earlier terminated (the "Expiration Date"). The tender offer is being extended to provide additional time for processing lost Unit certificates and withdrawals of Units from The Depository Trust Company.
American Stock Transfer & Trust Company, LLC, the depositary for the tender offer, has advised RRP that as of 5:00 p.m., New York City time, on January 29, 2019, 543 Units representing approximately 0.3% of the outstanding Units have been validly tendered pursuant to the tender offer and not properly withdrawn. Westbrook-Thompson unitholders who have already tendered their Units do not have to re-tender their Units or take any other action as a result of the extension of the Expiration Date of the tender offer. Tenders of Units must be made before the Expiration Date and may be withdrawn at any time before the Expiration Date.
The tender offer is being made pursuant to the Offer to Purchase, dated as of December 18, 2018, by RRP (the "Offer to Purchase") and the related letter of transmittal. The terms and conditions of the tender offer set forth in the Offer to Purchase and related letter of transmittal, except for the extension of the Expiration Date described in this release, remain the same.
