Roman DBDR Acquisition Corp. II Announces Closing of Full Exercise of IPO Over-Allotment Option

NEW YORK, Jan. 28, 2025 /PRNewswire/ -- Roman DBDR Acquisition Corp. II (the "Company") announced today that the underwriters of its previously announced initial public offering fully exercised their over-allotment option to purchase an additional 3,000,000 units at $10.00 per unit, generating gross proceeds of $30,000,000.

After giving effect to the full exercise of the over-allotment option, the total number of units sold in the initial public offering increased to 23,000,000 units, resulting in total gross proceeds of $230,000,000 for the Company's initial public offering.

The Company's units trade on the Nasdaq Global Market ("Nasdaq") under the ticker symbol "DRDBU." Each unit consists of one Class A ordinary share and one-half of one redeemable warrant, each whole warrant entitling the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share, subject to certain adjustments. No fractional warrants will be issued upon separation of the units and only whole warrants will trade. Once the securities constituting the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on Nasdaq under the symbols "DRDB" and "DRDBW," respectively.
