NEW YORK, May 24, 2016 /PRNewswire/ -- Sadis & Goldberg LLP is proud to announce the election of Yelena Maltser as a partner of the firm effective May 15. A member of the firm's Financial Services and Corporate Groups, Ms. Maltser practice focuses on the structuring, formation, capital raising and regulatory compliance of U.S. and non-U.S. private investment vehicles.

Ms. Maltser regularly counsels clients on structuring and forming U.S. and non-U.S. private investment vehicles (including hedge funds, private equity funds, hybrid funds, funds with non-traditional asset classes, real estate funds, venture capital funds, funds-of-funds, commodity pools, as well as managed accounts). She also advises clients on structuring the management entities to such funds. Ms. Maltser regularly prepares offering and organizational documents for investment funds; negotiates side letter agreements, seed capital agreements, joint venture agreements and compensation arrangements; reviews marketing materials; and provides ongoing advice to existing investment vehicles and management entities. In addition, Ms. Maltser counsels investment managers on registration and ongoing regulatory compliance issues.
Prior to joining Sadis & Goldberg, Ms. Maltser was an associate in the corporate groups of Cadwalader, Wickersham & Taft LLP and Clifford Chance US LLP, where she worked on a variety of general corporate matters. She earned her J.D. from the New York University of Law and her B.S., summa cum laude, from the New York University Stern School of Business. Ms. Maltser is admitted to practice in New York.
