Syncora to Announce Q2 2016 GAAP Financial Results and Hold Earnings Call
Annual General Meeting to be Held on October 18
Three Director Nominations Received under terms of Transaction Support Agreement
HAMILTON, Bermuda, Sept. 15, 2016 /PRNewswire/ -- Syncora Holdings Ltd. ("SHL" or the "Company") today announced that it plans to issue its financial results for the six months ended June 30, 2016 after 4:00 p.m. ET on Wednesday, September 21, 2016. The press release, together with the Company's consolidated GAAP financial statements for the same period, and certain additional information relating to the financial results, will be made available on Syncora's website (www.syncora.com).
A conference call to discuss the results will be held at 8:30 a.m. ET on Thursday, September 22, 2016. The call will be webcast via the Investor Events page of the Investor Relations section of the Company's website, or by dialing (877) 512-9165 (U.S. toll free), or +1 (706) 679-5795 outside the U.S., Puerto Rico and Canada, approximately 10 minutes prior to the scheduled start time and providing conference ID# 825-82-212. The Company also announced that its Annual General Meeting of Common Shareholders will be held on Tuesday, October 18, 2016 at 8.30 a.m. ET at the offices of Weil, Gotshal & Manges LLP, 767 5th Avenue, New York, NY.
In addition, the Company announced that, under the terms of its Transaction Support Agreement ("TSA") with certain holders of Syncora Guarantee Inc.'s long-term and short-term surplus notes and certain preferred shareholders, the Company has received notice of three nominees for the Company's Board of Directors: Mr. Alan Carr, Mr. Frederick Arnold and Mr. Robert Mills. Pursuant to the terms of the TSA, Mr. Carr, an existing director, is deemed to have resigned from the Company's Board of Directors and has been reappointed for a new three year term that will automatically expire at midnight on August 22, 2019. The Company's Nominating and Governance Committee review process for Messrs. Arnold and Mills has been completed, and the New York Department of Financial Services and the Company's Board of Directors are currently considering their applications; however, no assurances can be given as to whether or when approvals of these nominations will be granted.
